EquiDeFi, Ltd. is a financial technology company providing cloud-based software for the management and execution of private securities offerings. Its platform replaces fragmented processes with a centralized digital workflow through which issuers and their agents can manage investor onboarding, compliance reviews, document execution, payments, communications, closing, and record retention.

The company licenses its software to issuers and other market participants conducting Regulation D, Regulation A (Tier 2), and Regulation S offerings. EquiDeFi generates revenue from platform licensing and related services, including compliance checks, communications, dashboard access, and data services; it does not operate as a broker-dealer or charge transaction-based commissions or contingency fees.

EquiDeFi seeks to broaden access to private investment opportunities by giving issuers infrastructure to manage large numbers of individual investors through online and mobile workflows. Its stated mission is to ease the operational and compliance burden of private capital formation while enabling investors to participate directly in individual offerings.

The company is headquartered in Fort Lauderdale, Florida.

Platform

EquiDeFi’s self-service platform allows issuers to connect their websites and marketing campaigns to customized “Invest Now” links or QR codes. The system guides investors through identity verification, KYC, KYB, AML, accredited-investor verification, suitability review, funding, and electronic execution of subscription agreements.

The platform supports credit, debit, ACH, wire transfer, and alternative funding options, as well as closing, transfer-agent exports, investor communications, audit trails, and secure document retention. Issuers and their advisers receive real-time dashboards covering offering progress, compliance status, the investment pipeline, marketing effectiveness, and return on investment, while investors can monitor subscriptions and access executed documents through the Investor Portal and Investor Vault.

EquiDeFi also offers subscription analytics to issuers and marketing teams and is developing EQ Predict to analyze aggregated, de-personalized platform data.

Market Opportunity

EquiDeFi describes its target market as the trillions of dollars in private placements conducted annually. The company focuses on Regulation D offerings, which have no dollar limit under Rule 506(c); Regulation A (Tier 2) offerings, which allow issuers to raise up to $75 million in a 12-month period; and Regulation S offerings.

The company states that its platform has been deployed by issuers conducting private offerings totaling more than $1 billion, with over $250 million raised by licensees. It also states that offerings launched during 2025 attracted more than 60,000 indications of interest. Its software has been used for offerings ranging from $2 million to $500 million, with disclosed examples including Newsmax, the Los Angeles Times, Phoenix Energy One, FullPAC, Parler Technologies, Daré Bioscience, and Harmon Retail Holdings.
